Choosing a corporate structure in the UAE is one of the most consequential decisions a founder makes — and one of the most misunderstood. Free Zone, Mainland and DIFC each carry distinct tax treatment, ownership rules and visa allocations whose implications compound over a decade. Here is the framework.

Free Zone: ownership and tax efficiency

A Free Zone company offers 100% foreign ownership, a 0% corporate tax rate on qualifying income, and full profit repatriation. Setup costs start from roughly AED 8,000 in the budget zones. The trade-off is market reach: a Free Zone entity is generally restricted from trading directly in the UAE mainland without a local distributor or a branch. For exporters, holding companies, consultants and digital businesses, this is rarely a constraint.

Mainland: full market access

A Mainland licence, issued by the relevant emirate’s Department of Economic Development, grants unrestricted access to the local UAE market and the ability to bid for government contracts. Recent reforms allow 100% foreign ownership for most activities, removing the old local-sponsor requirement. The cost is tax exposure — 9% corporate tax above AED 375,000 — and setup costs starting around AED 12,000. For retailers, restaurants and firms selling to UAE customers, Mainland is often unavoidable.

DIFC: Common Law and credibility

DIFC (and its Abu Dhabi counterpart ADGM) sits in a category of its own. It offers an English Common Law jurisdiction, independent courts, unlimited visa quotas and the regulatory credibility that banks, funds and family offices require. Setup costs are materially higher — from around AED 30,000 — reflecting its positioning as a premium financial centre rather than a general trading hub.

Matching structure to strategy

The right answer follows the business model. Sell to the local market? Mainland. Optimise ownership and tax for an international or holding business? Free Zone. Run regulated financial activity or need Common Law governance? DIFC. The decision is not about cost alone — it is about aligning legal form with commercial intent for the long run.
